Terms of Service

By engaging KNMPLACE, LLC (“KNMPLACE,” “we,” “us,” or “our”) for any service — including web development, hosting, product design, software engineering, or technology consulting — you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

KNMPLACE provides custom web development, managed hosting, product design, software engineering, and technology consulting services. The specific scope, timeline, deliverables, and pricing for each engagement are defined in a separate written proposal or statement of work agreed upon by both parties.

We reserve the right to decline any project at our discretion.

Payment terms are outlined in your project proposal. Unless otherwise agreed in writing:

• Projects are billed in phases, with payment due before each phase begins.
• Hosting services are billed monthly or annually in advance.
• Invoices unpaid after 14 days may result in a pause in service.
• All fees are non-refundable once work has commenced on a phase.

Upon receipt of full payment for a project, all custom code, designs, and deliverables produced by KNMPLACE for that project are assigned to you. You own your work — this is a core commitment of ours.

KNMPLACE retains ownership of any pre-existing tools, libraries, frameworks, or methodologies used in the delivery of services. Third-party components remain subject to their respective licenses.

You agree to:

• Provide timely feedback, content, and access required to complete the work.
• Ensure all materials you provide are legally owned or licensed by you.
• Not use KNMPLACE services for any unlawful, harmful, or abusive purpose.

For managed hosting clients, KNMPLACE targets 99.98% uptime but does not guarantee uninterrupted service. Scheduled maintenance, third-party infrastructure failures, or circumstances beyond our control may result in downtime. We will make reasonable efforts to notify clients of planned maintenance in advance.

You are responsible for maintaining secure access credentials to any accounts we provision for you.

To the maximum extent permitted by law, KNMPLACE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunity, arising from the use of or inability to use our services.

Our total liability for any claim arising under these terms shall not exceed the total fees paid by you to KNMPLACE in the three months preceding the claim.

Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. This obligation does not apply to information that is publicly available or independently developed.

Either party may terminate an engagement with 14 days written notice. You will be invoiced for all work completed up to the termination date. Prepaid hosting fees are non-refundable.

These terms are governed by the laws of the United States. Any disputes shall be resolved in good faith. If resolution cannot be reached, disputes shall be subject to binding arbitration.

We may update these terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the updated terms.
